Merchant Terms & Conditions

1. Purpose

These Merchant Terms govern participation in the Bosse Value Network (“BVN”) Merchant Program. By creating a Merchant Account or purchasing products or services from BVN, the Merchant agrees to comply with these Terms, the Terms of Service, Privacy Policy, AML/KYC Policy, Redemption Policy, Acceptable Use Policy, Refund Policy, and all other applicable BVN policies.

2. Scope

These Terms apply to businesses purchasing:

Reward Point Packages Subscription Plans Enterprise Services API Access Merchant Dashboard Services Future Merchant Products offered by BVN

3. Merchant Eligibility

To become a Merchant, the business must:

Be legally organized and operating. Have authority to conduct business in its jurisdiction. Provide accurate business information. Successfully complete BVN’s verification process. Maintain compliance with applicable laws.

BVN may deny or revoke Merchant status if these requirements are not met.

4. Merchant Account Registration

Merchants may be required to provide:

Legal Business Name DBA (if applicable) EIN or Tax Identification Number Business Registration Documents Physical Business Address Authorized Representative Information Contact Information Banking Information (if applicable) Website or Social Media Presence (where requested)

BVN may request additional documentation at any time.

5. Merchant Verification

Before activating Merchant services, BVN may perform:

Business verification Identity verification of authorized representatives Sanctions screening Fraud review Risk assessment Compliance review

Activation is subject to BVN approval.

6. Merchant Responsibilities

Merchants agree to:

Operate honestly and lawfully. Maintain accurate business information. Protect Merchant credentials. Follow BVN branding guidelines. Distribute Reward Points only through approved programs. Cooperate with audits and investigations. Promptly report suspected fraud or unauthorized access.

Merchants remain responsible for all activity conducted through their Merchant Account.

7. Reward Point Package Purchases

Merchants may purchase Reward Point Packages from BVN. Package purchases are subject to:

Payment authorization. Fraud review. Inventory availability. Compliance verification. Platform availability.

Once points have been issued to the Merchant Account, purchases are generally considered final unless otherwise required by law or expressly approved by BVN. Reward Points purchased through BVN remain governed by the BVN Terms of Service and Redemption Policy.

8. Subscription Plans

Merchants may enroll in subscription plans that provide enhanced benefits. Depending on the selected plan, benefits may include:

Reduced redemption-related fees Higher distribution limits Advanced reporting Marketing tools Priority support Multi-user administration API access Early access to new features

Subscription pricing, billing frequency, and included features are described on the Platform and may change with reasonable notice.

9. Enterprise Services

BVN may offer Enterprise solutions for larger organizations. Enterprise services may include:

Multi-location management Corporate administration Bulk Reward Point issuance Custom reporting API integrations Dedicated account management Service-level commitments Custom commercial terms

Enterprise customers may also enter into separate written agreements that supplement these Merchant Terms.

10. Reward Point Distribution

Merchants may distribute Reward Points only through legitimate, authorized business activities, including:

Customer loyalty programs Purchase rewards Promotional campaigns Referral programs Employee recognition Customer appreciation initiatives Other BVN-approved programs

Merchants may not:

Represent Reward Points as legal tender. Guarantee cash values. Sell Reward Points outside the BVN Platform without written authorization. Use Reward Points for unlawful purposes.

11. Marketing & Brand Usage

BVN grants approved Merchants a limited, non-exclusive, revocable license to use approved BVN trademarks, logos, and marketing materials solely for promoting authorized participation in the BVN program. Merchants may not:

Alter BVN logos. Misrepresent affiliation. Suggest sponsorship beyond the actual relationship. Use outdated branding. Create misleading advertising.

BVN may revoke branding permissions at any time.

12. Payment Terms

Payments for Merchant purchases are due at the time of purchase unless a separate written agreement provides otherwise. BVN may accept payment through approved payment processors. Failure to complete payment may result in:

Order cancellation. Suspension of Merchant privileges. Delayed Reward Point issuance. Account restrictions.

13. Refunds & Cancellations

Merchant purchases are governed by BVN’s Refund & Cancellation Policy. Unless otherwise required by law or approved by BVN:

• Reward Point Packages are generally non-refundable once issued.
• Subscription fees are generally non-refundable for the current billing cycle.
• Enterprise agreements may contain separate refund provisions.

14. Fraud Prevention

Merchants must implement reasonable measures to prevent fraud, including:

Protecting account credentials. Monitoring employee access. Reporting suspicious activity. Maintaining accurate records. Cooperating with fraud investigations.

BVN may suspend Merchant activity while investigations are pending.

15. Merchant Compliance

Merchants agree to comply with:

Applicable laws. BVN Terms of Service. AML/KYC Policy. Acceptable Use Policy. Privacy Policy. Redemption Policy. Refund Policy. Payment processor requirements. Marketing guidelines.

Failure to comply may result in enforcement action.

16. Data Privacy & Security

Merchants receiving personal information through the BVN Platform agree to:

• Protect customer information.

Use information only for authorized purposes. Maintain reasonable security safeguards. Promptly report suspected data breaches affecting BVN information. Comply with applicable privacy laws.

17. Intellectual Property

All BVN software, trademarks, logos, APIs, documentation, and Platform content remain the exclusive property of BVN or its licensors. Nothing in these Terms transfers ownership of BVN intellectual property to the Merchant.

18. API & Integrations

Merchants granted API access must comply with BVN’s API documentation and any separate Developer Agreement. BVN may suspend or revoke API credentials if misuse, excessive usage, or security concerns are identified.

19. Audits & Reviews

BVN may conduct reasonable compliance reviews of Merchant participation. Reviews may include:

Reward Point distribution practices. Marketing materials. Transaction history. Fraud controls. Compliance documentation. Account activity.

Merchants agree to cooperate with reasonable review requests.

20. Suspension & Termination

BVN may suspend or terminate Merchant Accounts for reasons including:

Fraud. Payment abuse. Misrepresentation. Policy violations. Failure to maintain eligibility. Security concerns. Legal or regulatory requirements.

Termination may result in:

Revocation of Merchant privileges. Cancellation of pending transactions. Suspension of Reward Point distribution. Retention of records as required by law.

21. Limitation of Liability

To the fullest extent permitted by law, BVN shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from Merchant participation in the Platform. Nothing in these Terms limits liability where prohibited by applicable law.

22. Indemnification

The Merchant agrees to defend, indemnify, and hold harmless BVN, its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• The Merchant’s breach of these Terms.
• Fraudulent or unlawful conduct.
• Misuse of the Platform.
• Violations of applicable law.
• Infringement of third-party rights.

23. Governing Law

These Merchant Terms shall be governed by the laws specified in BVN’s Terms of Service, unless superseded by a separate written Enterprise Agreement or required by applicable law.

24. Changes to These Terms

BVN may modify these Merchant Terms to reflect:

New services. Operational changes. Legal requirements. Payment processor requirements. Security improvements. Business needs.

Material changes will be communicated through appropriate channels where required by law.
